  • Long-time readers know we have a soft spot for shareholder activism in small-cap resources, where some of the sector’s most creative governance crimes tend to occur.

  • There is a live one unfolding at TNR Gold.

  • TNR’s largest shareholder, Eucalyptus Resources, has accused the board of entrenchment over a proposed Altius financing that includes a five-year voting support lock-up and a ROFO over key assets.

  • Eucalyptus says TNR ignored a superior, cleaner financing offer at C$0.23 per share, failed to keep shareholders updated, and still has not issued AGM materials.

  • Some activist fights are murky. This one looks pretty black-and-white to us.

  • The Eucalyptus statement on SEDAR+ is worth reading in full. Best line:
