  • Takeovers Panel accepts Forrestania's undertaking in bid for Zenith amid shareholder allegations (West)

  • VYS ($556m) - Vysarn will acquire 100% of Welltech for $60m (upfront $37.3m cash + $12.8m scrip; $10m deferred on EBITDA hurdles) and will raise $65.3m at $1.05 to fund it

  • POL ($237m) - Polymetals exchanged $28m Endeavor rehab bond, completing acquisition and taking 100% of Cobar Infrastructure

Word on the Decline

  • The Forrestania bid for Zenith has developed one of those timelines where every individual event may be explainable, but the collection deserves a closer look.

    • 7 May: Zenith launches a strategic review involving confidentiality agreements and standstill arrangements

    • 4 and 5 June: Forrestania buys another 6.5% of Zenith, lifting its stake to 9.72%

    • 8 June: Zenith and Forrestania sign the takeover implementation deed

    • 9 June: The recommended scrip bid is announced, marketed as worth 13.2c per Zenith share based on Forrestania's prevailing share price

    • 16 June: Zenith managing director Andrew Smith accepts the offer on the day it opens. The other directors follow shortly after

    • 29 June: Forrestania unveils the $300 million acquisition of Edna May and a $310 million equity raising at 40c, increasing its issued capital by roughly 77%

  • The questions almost ask themselves.

  • The Takeovers Panel's Guidance Note 23 steers to a 21-day window before directors lock themselves into a recommended bid, giving the market a reasonable opportunity to produce a competing proposal. Zenith's directors did not wait.

  • Meanwhile, Harvest Lane says Forrestania should not have been buying Zenith shares while subject to a standstill, and shareholders were never told the bidder was on the verge of a transaction that would fundamentally reshape its capital structure.

  • Maybe it is all entirely proper. Maybe it is simply the most efficient month of corporate dealmaking in recent memory.
